Terms of service

1. Agreement to these terms

These Terms of Service (the "Terms") are a binding agreement between you and Veratex, Inc. ("Veratex", "we", "us"). You accept them when you create an account, install the Veratex GitHub App, or use the Veratex service (the "Service"). If you use Veratex for an organization, you confirm that you can bind that organization to these Terms, and "you" refers to the organization. Do not use the Service if you do not agree to these Terms.

2. The Service

Veratex maintains software repositories. Depending on your settings, it can read issues and pull requests, write and test code in isolated sandboxes, open and review pull requests, suggest improvements, and merge changes that pass its checks. You control its behavior for each repository. We may add, change, or remove features over time.

3. Accounts and GitHub authorization

You sign in with GitHub and give Veratex access to repositories by installing the Veratex GitHub App. You are responsible for your GitHub account, activity under your Veratex account, and permission to connect each repository, including permission from its owner or your employer. Contact us promptly at security@veratex.ai if you suspect unauthorized use of your account.

4. Subscriptions, billing, and cancellation

Parts of the Service are offered under paid subscription plans described on our pricing page. Payments are processed by Stripe; we do not store your card details.

• Renewal. Subscriptions renew automatically at the end of each billing period (monthly or yearly) until cancelled.
• Cancellation. You can cancel at any time through the billing portal in your dashboard. Cancellation takes effect at the end of the current billing period, and you keep plan access until then.
• Refunds. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods or unused capacity.
• Price changes. We may change prices with at least 30 days' notice; changes apply from your next billing period.
• Taxes. Fees are exclusive of taxes, which you are responsible for where applicable.

5. Your repositories and content

You keep all rights to the repositories, code, issues, and other content you give the Service access to ("Your Content"). You grant Veratex a limited, non-exclusive license to access, copy, process, and transmit Your Content only as needed to provide, secure, and improve the Service. We do not use Your Content to train machine-learning models. You confirm that Your Content, and our use of it under these Terms, does not break the law or infringe anyone else's rights.

6. Agent output

The Service uses large language models to produce code changes, reviews, proposals, and other material ("Output"). As between you and Veratex, we assign you any rights we hold in Output committed to your repositories.

The Service may produce similar Output for other customers, but it will not disclose Your Content to them.

7. Acceptable use

You agree not to, and not to permit others to:

• use the Service to violate any law, infringe any intellectual-property or other right, or develop, distribute, or deploy malware or malicious code;
• connect repositories you do not have authority to connect, or use the Service to modify code you are not permitted to modify;
• abuse the Service's sandbox or compute resources for purposes unrelated to maintaining your repositories, such as cryptocurrency mining, denial-of-service activity, or proxying traffic;
• probe, scan, or test the vulnerability of the Service other than under our responsible disclosure policy;
• attempt to circumvent usage limits, plan restrictions, safety guards, or access controls, or interfere with the Service's operation;
• resell or provide the Service to third parties as a service bureau without our written agreement; or
• reverse engineer the Service except to the extent a right to do so cannot be excluded by law.

We may suspend or limit access if we reasonably believe someone is breaking these Terms or putting the Service's security or integrity at risk.

8. Third-party services

Veratex relies on GitHub for source control, Stripe for payments, Anthropic for model inference, and other providers for hosting and sandboxes. Your use of GitHub through Veratex remains subject to GitHub's terms. We are not responsible for third-party services. We select and configure our providers to support the commitments in these Terms and our privacy policy.

9. Intellectual property and feedback

Veratex and its licensors own the Service, including its software, design, operation, and branding. These Terms grant you only the rights they state. If you send feedback or suggestions, you give us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation.

10. Disclaimer of warranties

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT OUTPUT WILL BE CORRECT, SECURE, OR FREE OF DEFECTS, OR THAT VERIFICATION GUARDS WILL CATCH EVERY DEFECT.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERATEX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERATEX'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE AND ONE HUNDRED US DOLLARS (USD $100). THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

12. Indemnification

You will defend and indemnify Veratex against claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service in violation of these Terms or applicable law, or your merging or deployment of Output.

13. Termination

You may stop using Veratex and uninstall the GitHub App at any time. We may suspend or terminate access if you materially breach these Terms and do not fix a curable breach within 14 days after notice. We may act immediately when necessary to protect the Service or comply with law. When access ends, your license to use the Service ends. Sections 5, 6, and 9 through 16 survive termination.

14. Changes to the Service or these Terms

We may update these Terms. We will give at least 14 days' notice of material changes by email or through the Service. If you keep using the Service after the changes take effect, you accept the updated Terms. The"Last updated" date above shows the current version.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules. Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@veratex.ai; if it is not resolved within 30 days, either party may proceed. The exclusive venue for disputes is the state and federal courts located in Delaware, and both parties consent to personal jurisdiction there. Nothing in this section limits rights you have under mandatory consumer-protection law in your country of residence.

16. Miscellaneous

These Terms, together with the privacy policy, are the entire agreement between you and Veratex regarding the Service. If any provision is found unenforceable, it will be modified to the minimum extent necessary and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
